This user agreement (the “Agreement”) describes Your rights and responsibilities in connection with Your use of Anyinvestor.com (“Anyinvestor.com”) and the Services (as defined below). Please read the Agreement carefully. Any Investor LLC (“Any Investor LLC”) provides a website known as Anyinvestor.com, and other information, subject to Your strict compliance and agreement with all of the terms and conditions set forth in this Agreement.
Any content on Anyinvestor.com, or related pages, are not intended to provide legal, tax, investment or insurance advice. Anyinvestor.com is an independent website owned and operated by Any Investor LLC. Any Investor LLC is not registered as a securities broker-dealer or an investment adviser with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, or any state securities regulatory authority. Nothing on Anyinvestor.com should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation for any security by Anyinvestor.com, Any Investor LLC, or any third party. You are solely responsible for determining whether any investment, investment strategy, security or related transaction is appropriate for You based on Your personal investment objectives, financial circumstances and risk tolerance. You should consult Your legal or tax professional regarding Your specific situation. You bear responsibility for your own investment research and decisions and should seek the advice of a qualified securities professional before making any investment decisions. You expressly agree that Anyinvestor.com and Any Investor LLC shall bear no liability to You whatsoever for any investment loss that You may incur based on or in connection with your use of Anyinvestor.com or the Services (as defined below).
1. TERMS OF SERVICE.
BY USING ANYINVESTOR.COM AND/OR THE SERVICES, YOU ARE AGREEING TO ALL TERMS OF SERVICE (AS DEFINED BELOW) AND POLICIES OUTLINED HEREIN.
This Agreement by and between an authorized user of or subscriber to Anyinvestor.com (sometimes referred to herein as “You”, “Your”, “User”, and “Subscriber”), Anyinvestor.com, any of Anyinvestor.com’s website affiliates, information services, agencies, sponsors, licensees or content partners (hereafter, collectively referred to as “Anyinvestor.com”, “Website”, “We”, “Us”, or “Our”), and Any Investor LLC, governs User’s use of Anyinvestor.com, including any, information, products, services, tools, documents, information services, websites, content, functions or features accessible on or through Anyinvestor.com and/or becoming a subscriber to the Website (collectively referred to herein as the “Services”). Your use of Anyinvestor.com and the Services is subject to the terms and conditions set forth herein. By using Anyinvestor.com or any other website owned, operated,licensed, or controlled by Any Investor LLC, You agree to be bound by the terms of this Agreement.
BY USING ANYINVESTOR.COM AND/OR THE SERVICES, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS AS SET FORTH IN THIS AGREEMENT (COLLECTIVELY, THE “TERMS OF SERVICE”). USER’S USE OF ANYINVESTOR.COM AND/OR THE SERVICES WILL CONSTITUTE THE USER’S ACCEPTANCE OF ALL SUCH TERMS OF SERVICE. IF YOU DO NOT AGREE TO THE TERMS OF SERVICE, YOU MAY NOT USE ANYINVESTOR.COM OR THE SERVICES.
You must be at least 18 years of age to use Anyinvestor.com or the Services. If You are not at least 18 years old, You may not access or use Anyinvestor.com or the Services.
Any Investor LLC reserves the right at any time to: Change the Terms of Service of this Agreement, or change the Services, including eliminating or discontinuing any content on or feature of any of the Services. Any change We make will be immediately effective, which may be done by any means including, without limitation, posting on the Services. If You do not agree to any changes in the Terms of Service, or the Services, as they may occur, please arrange to terminate Your subscription account with Us immediately (i) by notifying Us of Your unwillingness to accept the changes to the Terms of Service or the Services and (ii) by discontinuing Your use of Anyinvestor.com and the Services. Your continued use of Anyinvestor.com or the Services after any changes in the Terms of Service or the Services will indicate your acceptance of such changes.
ANYINVESTOR.COM AND THE SERVICES ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY. NONE OF THE SERVICES ARE INTENDED AS INVESTMENT, TAX, ACCOUNTING OR LEGAL ADVICE, AS AN OFFER OR SOLICITATION OF AN OFFER TO SELL OR BUY, OR AS AN ENDORSEMENT, RECOMMENDATION OR SPONSORSHIP OF ANY COMPANY, SECURITY, OR FUND. THE SERVICES SHOULD NOT BE RELIED UPON FOR PURPOSES OF TRANSACTING SECURITIES OR OTHER INVESTMENTS. ANY INVESTOR LLC CANNOT AND DOES NOT ASSESS OR GUARANTEE THE SUITABILITY OR PROFITABILITY OF ANY PARTICULAR INVESTMENT, OR POTENTIAL VALUE OF ANY INVESTMENT OR INFORMATION SOURCE. YOU BEAR RESPONSIBILITY FOR YOUR OWN INVESTMENT RESEARCH AND DECISIONS, AND SHOULD SEEK THE ADVICE OF A QUALIFIED SECURITIES PROFESSIONAL BEFORE MAKING ANY INVESTMENT DECISIONS. YOU HEREBY EXPRESSLY AGREE THAT ANYINVESTOR.COM, ANYINVESTOR LLC, ITS SUBSIDIARIES, AND THEIR RESPECTIVE PARTNERS, AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONSULTANTS, SHALL BEAR NO LIABILITY TO YOU WHATSOEVER FOR ANY INVESTMENT LOSS THAT YOU MAY INCUR BASED ON OR IN CONNECTION WITH YOUR USE OF ANYINVESTOR.COM OR THE SERVICES.
2. INFORMATION. You shall be responsible for obtaining the requisite communication lines and internet connections to interface with Anyinvestor.com and utilize, receive and/or subscribe to any of the Services. You understand and agree that nothing in this Agreementshall be deemed to constitute an undertaking by Anyinvestor.com to continue to disseminate the information contained on Anyinvestor.com (the “Information”) in its present form or configuration. Anyinvestor.com, in its sole discretion may, from time to time, make modifications to the Information and Services, irrespective of whether such modifications would require changes to be made by You to any device or equipment which receives the Services from Anyinvestor.com. You shall bear all risks of failing to make concurrent modifications to Your devices and equipment and You acknowledge and agree that neither Anyinvestor.com, Any Investor LLC, nor its “Information Providers” (defined herein as the sources from which Anyinvestor.com receives the Information made available through the Services) shall be responsible if such changes affect Your access to or use of the Services in any way.
3. OWNERSHIP OF SOFTWARE. Software included as part of the Services contains software proprietary to Anyinvestor.com, Any Investor LLC, and/or to third parties (“Third Party Suppliers”) and licensed to Anyinvestor.com (“Anyinvestor.com Software”). Anyinvestor.com and Third Party Suppliers retain title and ownership to the Anyinvestor.com Software and all copyright and other intellectual property rights therein. Your receipt of the Services does not constitute a sale of the Anyinvestor.com Software or any copy. You agree not to alter, decompile, or disassemble the Anyinvestor.com Software.
4. YOU AGREE TO PAY THE PREDETERMINED SUBSCRIPTION FEE FOR YOUR USE OF ANYINVESTOR.COM.
5. YOU AGREE NOT TO SHARE ACCESS TO YOUR SUBSCRIPTION ACCOUNT AND NOT TO REDISTRIBUTE ANY DATA YOU RECEIVE THROUGH YOUR USE OF ANYINVESTOR.COM, INFORMATION OR SERVICES.
You may not copy, modify, scrape, reproduce, republish, distribute, transmit or use Anyinvestor.com, the Information, or the Services for commercial or other purposes, except to the extent required in order for You to use Anyinvestor.com and the Services in the manner expressly provided herein. You may NOT share your password with anyone. You shall be solely responsible for maintaining the confidentiality of Your password. You shall immediately notify Anyinvestor.com of any known or suspected unauthorized use(s) of Your subscription account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of Your username, password or credit card information. You are fully responsible for all usage and activity on Your subscription account, including, but not limited to, use of the account by any third party authorized by You to use Your username and password. If the compute system on which You accessed the Services is sold or transferred to another party, You warrant and represent that You will delete all cookies and saved links to Anyinvestor.com files obtained by or through use of the Services.
Subscription Account Lockouts: Our security system checks for simultaneous logins from multiple locations. If it is found that You are sharing Your subscription account, Our syste will auto-lock your subscription account for up to a 24-hour period as required by our data provider agreements. You understand this and agree to not share access to Your subscription account.
You may not utilize automated systems or software to extract data from Anyinvestor.com. You may not scrape or extract data from Anyinvestor.com for use outside of Anyinvestor.com. Legal action will be taken where deemed appropriate if it is found that You are redistributing or reselling the Information or Services on Anyinvestor.com.
6. ANYINVESTOR.COM AND ALL OF ITS CONTENTS ARE COPYRIGHTED. THE VIEWER OF ANYINVESTOR.COM IS GIVEN A LIMITED LICENSE TO USE ITS CONTENTS FOR PERSONAL OR INTERNAL COMPANY USE ONLY. Anyinvestor.com and all its contents are made available to You, with the agreement that You will not copy or reproduce the contents of Anyinvestor.com, except for Your own personal or internal company use, in any form and that You will not sell, lease, loan, or otherwise make them available to third parties or anyone else without the express written permission of the author.
7. DIGITAL GOODS (NO REFUND POLICY).
Since services are non-tangible, irrevocable, digital goods; we do not issue refunds, which You are solely responsible for understanding. During checkout, upon clicking the final submit button on any payment to Anyinvestor.com, Your purchase is charged to the credit/debit card that You supplied. All sales are final.
You cannot cancel a purchase or receive a refund for a purchase. You can cancel future recurring subscription payments at anytime from Your Account Settings page. Any payments that have already been processed are non-refundable.
All plans auto-renew. If You do not wish to renew, You must cancel 24 hours prior to Your renewal date.
The subscription fees for Anyinvestor.com are set forth on Anyinvestor.com and may be amended at the sole discretion of Anyinvestor.com from time to time without notice to You and are payable monthly or annually in advance. Payment shall be accepted by credit card for monthly and annual subscriptions.
YOU AGREE TO PAY THE PREDETERMINED SUBSCRIPTION FEE FOR YOUR USE OF ANYINVESTOR.COM AND THE SERVICES.
8. YOU AGREE THAT THE INFORMATION YOU HAVE PROVIDED UPON ACCOUNT REGISTRATION IS ACCURATE AND CORRECT TO THE BEST OF YOUR KNOWLEDGE.
9. YOU UNDERSTAND THAT YOUR USE OF ANYINVESTOR.COM WILL ALWAYS BE SUBJECT TO AND PURSUANT TO THIS AGREEMENT. You may review this Agreement at any time by clicking on “Terms of Service” from our home page.
10. YOU AGREE TO NOT SOLICIT, PROMOTE, OR SHARE EXTERNAL DATA WITHIN OUR MESSAGE BOARDS.
You may not share or promote Your own for-profit, paid, or non-public services or websites that You are affiliated with.
You may not share premium (paid) data from external sources including screenshots, non-public links, documents, or copyrighted material which You don’t solely own, have permission to, or are licensed to redistribute.
You may not promote, share, discuss, or suggest the use of competing services within the chat room. Anyinvestor.com reserves the right (but does not have any obligation) to prohibit or restrict conduct on the Anyinvestor.com websites and to edit, block, or remove any content, in whole or in part, which in our sole discretion we believe violates our Code of Conduct, or is otherwise objectionable. If You believe that material has been posted that violates any of these prohibitions, or that should otherwise be removed, please contact Anyinvestor.com. You Agree to not solicit subscribers of Anyinvestor.com for any reason.
11. DISCORD/CHAT; CODE OF CONDUCT. You understand that the use of Our chat room is a revocable privilege and subject to the Chat Code of Conduct rules outlined here. We reserve the right to ban any User from participating in Our chat room that violates any of the rules outlined in Chat Code of Conduct. If You do not wish to participate in the chat, it can be disabled from your Account Settings. Chat rules can be viewed at anytime from the chat window by clicking Rules.
You Agree to adhere to the Chat Code of Conduct and promote a positive, professional, and team-oriented atmosphere.
12. PRIVACY. We respect Your privacy rights. We will not sell or distribute Your email address or other information without Your express consent. Only Anyinvestor.com, Any Investor LLC, our agencies, attorneys, and partners are entitled to Your information.
13. NO ENDORSEMENT. You understand that neither Anyinvestor.com, nor any part of the Services, or any equipment utilized by Anyinvestor.com is sponsored or endorsed by any of the Information Providers. Anyinvestor.com may contain links to websites operated by parties other than Anyinvestor.com. Such links are provided for Your convenience only. Anyinvestor.com does not control such websites, and is not responsible for their contents.Anyinvestor.com’s inclusion of links to such websites does not imply any endorsement of the material on such websites or any association with their operators.
14. COPYRIGHT; PROPRIETARY DATA; USE PROVISIONS.
Neither Anyinvestor.com, Any Investor LLC, nor any individual or organization that may be a source of content distributed through Anyinvestor.com makes any warranty as to the timeliness and accuracy of the Information or Services. The Information and Services are provided for informational purposes only and do not constitute investment advice. Access to, transmission or receipt of, or reliance upon, content from Anyinvestor.com does not create, and is not intended to create, an investor-adviser or investor-broker relationship between You or any other person or any content partner of Anyinvestor.com (collectively, “Content Partners”).
Except for the limited license granted in the Agreement, all right, title, and interest in Anyinvestor.com and the Services (including all trademarks, copyrights, and other intellectual property rights), in all languages, formats and media throughout the world, are and will continue to be the exclusive property of Anyinvestor.com, Any Investor LLC and/or the Content Partners.
You may not decompile, reverse engineer, scrape, disassemble, rent, lease, loan, sublicense, or create derivative works from Anyinvestor.com.
15. NO REPRESENTATIONS OR WARRANTIES.
Neither Anyinvestor.com, its agencies, attorneys, members, affiliates, nor Any Investor LLC, nor any Content Partner, makes any warranty or representation that the Information and/or Services are accurate and timely. You understand that use of Anyinvestor.com and of the Services is undertaken at Your own risk. Any Information, Services, or data provided by Anyinvestor.com is not exhaustive or complete. NEITHER ANYINVESTOR.COM NOR ANY CONTENT PARTNER ASSUMES ANY LIABILITY FOR THE USE OR INTERPRETATION OF ANY INFORMATION AND/OR SERVICES. ANYINVESTOR.COM AND THE INFORMATION AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES WITH RESPECT TO PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ACCURACY, OMISSIONS, COMPLETENESS, CURRENTNESS, OR TIMELINESS. YOUR EXCLUSIVE REMEDY UNDER THIS AGREEMENT , IF ANY, FOR ANY CLAIM FOR DAMAGES RELATING TO YOUR USE OF ANYINVESTOR.COM OR THE INFORMATION, AND/OR THE SERVICES, WHETHER ON THE BASIS OF CONTRACT, NEGLIGENCE, OR ANY OTHER BASIS, WILL BE LIMITED TO THE AGGREGATE AMOUNT OF CHARGES PAID BY YOU TO ANYINVESTOR.COM DURING THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. YOU ACKNOWLEDGE THAT PROVISION OF ANYINVESTOR.COM’S SERVICES AND CONTENT ENTAILS THE LIKELIHOOD OF SOME HUMANAND MACHINE ERRORS, DELAYS, INADVERTENT LOSS OF DATA. INTERRUPTIONS AND LOSSES, INCLUDING THE INADVERTENT LOSS OF DATA.
THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION OR SERVICES AVAILABLE THROUGH ANYINVESTOR.COM OR THE SERVICES. NEITHER THE CONTENT PROVIDERS NOR THEIR THIRD-PARTY INFORMATION PROVIDERS AND THEIR RESPECTIVE AFFILIATES, AGENTS OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR IN PART BY THEIR NEGLIGENCE OR CONTINGENCIES BEYOND THEIR CONTROL IN PROCURING,
COMPILING, INTERPRETING, REPORTING OR DELIVERING ANY INFORMATION OR SERVICES OR BY ANY DELAYS, INACCURACIES, ERRORS IN OR OMISSIONS OF ANY OF THE INFORMATION AND SERVICES OR THE TRANSMISSION THEREOF OR IN THE PROVISION OF ANYINVESTOR’S SERVICES. THE INFORMATION PROVIDERS, THEIR THIRD-PARTY INFORMATION PROVIDERS, AND THEIR RESPECTIVE AFFILIATES, AGENTS OR LICENSORS SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE UPON SUCH INFORMATION OR SERVICE.
16. LIMITATION OF LIABILITY.
IN NO EVENT WILL ANYINVESTOR.COM, ANY INVESTOR LLC, ITS SUBSIDIARIES, OR THEIR RESPECTIVE AFFILIATES, PARTNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONSULTANTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF ANYINVESTOR.COM, THE SERVICES, OR ANY OF THE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM ANYINVESTOR.COM, EVEN IF ANYINVESTOR.COM, ANY INVESTOR LLC, OR THEIR RESPECTIVE AFFILIATES, PARTNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONSULTANTS IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, ANY LIABILITY OF ANYINVESTOR.COM, ANY INVESTOR LLC, ITS SUBSIDIARIES, AND THEIR RESPECTIVE AFFILIATES, PARTNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONSULTANTS TO YOU FOR ANY CAUSE, CLAIM, LOSS, OR DEMAND WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ANYINVESTOR.COM IN THE IMMEDIATELY PRECEDING TWELVE MONTHS, BUT IN NO CASE WILL SUCH LIABILITY TO YOU EXCEED $1,000. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID BY YOU TO ANYINVESTOR.COM, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND YOU SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM ANYINVESTOR.COM OR ANY INVESTOR LLC, ITS SUBSIDIARIES, AND THEIR RESPECTIVE AFFILIATES, PARTNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONSULTANTS, REGARDLESS OF THE CAUSE OF ACTION.
17. TAXES. You shall be solely responsible for the payment of any taxes, charges or assessments imposed on You or Anyinvestor.com, and any penalties or interest thereon, relating to the provision of the Services (except for any income taxes, if any, imposed on Anyinvestor.com). All U.S. residents must pay their respective sales tax on subscription and exchange fees which will be collected and remitted by Anyinvestor.com to the appropriate state agency.
18. LAWS. You represent and warrant that You are not engaged in, and agree not to engage in, any unlawful transaction or business, and/or will not use or knowingly permit anyone to use the Information and/or the Services for: i) any purpose or in any manner not authorized by this Agreement, or ii) fo any unlawful purpose or in any manner not in compliance with the statutes, rules and regulations.
19. INDEMNIFICATION OF ANYINVESTOR.COM AND ANY INVESTOR LLC. YOU AGREE THAT ANYINVESTOR.COM, ANY INVESTOR LLC, ITS SUBSIDIARIES, AND THEIR RESPECTIVE PARTNERS, AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONSULTANTS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH YOUR USE OF ANYINVESTOR.COM AND THE SERVICES.
USERS OF THIS WEBSITE AND THE SERVICES HEREBY AGREE TO INDEMNIFY AND HOLD ANYINVESTOR.COM, ANY INVESTOR LLC, ITS SUBSIDIARIES, AND THEIR RESPECTIVE PARTNERS, AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONSULTANTS, HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, OR DEMANDS, INCLUDING REASONABLE ATTORNEYS’ FEES, MADE BY THE USER OR ANY THIRD PARTY DUE TO OR ARISING OUT OF A USER’S USE OF THE WEBSITE AND/OR THE SERVICES.
20. GOVERNING LAW; DISPUTES SUBMITTED TO ARBITRATION.
ANY AND ALL DISPUTES ARISING UNDER THIS AGREEMENT SHALL BE GOVERNED BY AND INTERPRETED IN ACCORDANCE WITH THE LAWS OF DELAWARE, WITHOUT REGARD TO PRINCIPLES OF CONFLICT OF LAWS. ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, OR THE BREACH THEREOF, OR ANY CLAIM OR DISPUTE BETWEEN THE PARTIES TO THIS AGREEMENT, SHALL BE SETTLED EXCLUSIVELY BY BINDING ARBITRATION IN THE STATE OF SOUTH CAROLINA IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE BINDING ARBITRATION SHALL BE CONDUCTED ON A CONFIDENTIAL BASIS PURSUANT TO THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. ANY SUCH BINDING ARBITRATION SHALL BE CONDUCTED BY THREE (3) ARBITRATORS SELECTED EXCLUSIVELY BY ANY INVESTOR LLC AND SHALL INCLUDE A WRITTEN RECORD OF THE ARBITRATION HEARING.
